Agreement to Our Legal Terms

We are Everstone Benefits LLC ("Company", "we", "us", "our"), a limited liability company registered in California, United States, at 1501 Research Park Drive, Riverside, CA 92507. We do business as Everstone Insurance Services.

We operate the website https://everstonebenefits.com, as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Everstone Benefits LLC, concerning your access to and use of the Services. By accessing the Services, you agree that you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date. It is your responsibility to review these Legal Terms periodically.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

1. Our Services

Everstone Insurance Services is an independent insurance brokerage. Information provided through the Services is general in nature and is not individualized insurance, tax, or legal advice. Plan availability, benefits and costs vary by location and are subject to the terms of the issuing carrier and to change.

We are not affiliated with or endorsed by the U.S. government or the federal Medicare program. Medicare has neither reviewed nor endorsed the information on the Services. For a complete listing of plans available in your service area, contact 1-800-MEDICARE (TTY 1-877-486-2048), 24 hours a day / 7 days a week, or consult www.medicare.gov.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject us to any registration requirement within such jurisdiction. Those who access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

2. Intellectual Property Rights

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). Our Content and Marks are protected by copyright and trademark laws.

The Content and Marks are provided through the Services "AS IS" for your personal, non-commercial use or internal business purpose only. Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and to download or print a copy of any portion of the Content to which you have properly gained access.

Except as set out above, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission. By sending us any question, comment, suggestion, idea or feedback about the Services ("Submissions"), you agree that we may use it without acknowledgment or compensation. You warrant that your Submissions are original to you and do not constitute confidential information.

3. User Representations

By using the Services, you represent and warrant that: (1) you have the legal capacity and agree to comply with these Legal Terms; (2) you are not a minor in the jurisdiction in which you reside; (3) you will not access the Services through automated or non-human means; (4) you will not use the Services for any illegal or unauthorized purpose; and (5) your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to refuse any and all current or future use of the Services.

4. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make them available. As a user of the Services, you agree not to:

  • Systematically retrieve data or content to create a collection, compilation, database, or directory without written permission.
  • Trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information.
  • Circumvent, disable, or interfere with security-related features of the Services.
  • Use any information obtained from the Services to harass, abuse, or harm another person.
  • Make improper use of our support services or submit false reports of abuse or misconduct.
  • Use the Services in a manner inconsistent with any applicable laws or regulations.
  • Upload or transmit viruses, Trojan horses, spam, or any material that interferes with the use of the Services.
  • Engage in automated use of the system, including scripts, data mining, robots, scrapers, or similar tools.
  • Delete any copyright or other proprietary rights notice from any Content.
  • Impersonate another user or person.
  • Interfere with, disrupt, or create an undue burden on the Services or connected networks.
  • Harass, intimidate, or threaten any of our employees or agents.
  • Copy or adapt the Services' software, or decipher, decompile, disassemble, or reverse engineer it, except as permitted by applicable law.
  • Collect usernames or email addresses for the purpose of sending unsolicited email.
  • Use the Services as part of any effort to compete with us.

5. Services Management

We reserve the right, but not the obligation, to: monitor the Services for violations of these Legal Terms; take appropriate legal action against anyone who violates the law or these Legal Terms; refuse, restrict access to, or limit the availability of any content; remove content that is excessive in size or burdensome to our systems; and otherwise manage the Services to protect our rights and property and facilitate their proper functioning.

6. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by it, and it is incorporated into these Legal Terms. The Services are hosted in the United States. If you access the Services from another region with laws governing personal data collection that differ from those in the United States, then through your continued use you are transferring your data to the United States and expressly consent to it being processed there.

7. Term and Termination

These Legal Terms remain in full force and effect while you use the Services. Without limiting any other provision, we reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services to any person for any reason, including breach of any representation, warranty, or covenant contained in these Legal Terms or of any applicable law or regulation.

8. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time at our sole discretion without notice, and we have no obligation to update any information. We cannot guarantee the Services will be available at all times and will not be liable for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime.

9. Governing Law and Dispute Resolution

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in Riverside County, California, and the parties consent to jurisdiction and venue in those courts and waive all defenses of lack of personal jurisdiction and forum non conveniens. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) is excluded. In no event shall any claim related to the Services be commenced more than one (1) year after the cause of action arose, except where a longer period is required by law.

10. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, and availability. We reserve the right to correct any errors and to update the information at any time without prior notice.

11. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICES.

12. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Services, your breach of these Legal Terms, any breach of your representations and warranties, or your violation of the rights of a third party.

14. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS.

15. SMS Text Messaging

Programme description

By providing your mobile number and giving consent, you agree to receive SMS text messages from Everstone Benefits LLC (doing business as Everstone Insurance Services) relating to your enquiry, your appointment, your plan status, enrollment confirmations, and updates on regulatory changes affecting Medicare coverage. Where you separately agree to it, you may also receive occasional marketing messages about plan changes, enrollment period reminders, and educational resources.

Consent

Consent to receive text messages is not a condition of any purchase. You may request quotes, receive advice and enrol in a plan without agreeing to receive text messages.

Opting out

If at any time you wish to stop receiving SMS messages from us, reply STOP to any message. You may receive a message confirming your opt-out.

Message frequency and rates

Message frequency varies. Message and data rates may apply; these are determined by your carrier and the specifics of your mobile plan. Carriers are not liable for delayed or undelivered messages.

Privacy

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All text messaging originator opt-in data and consent is excluded from any sharing with third parties. See our Privacy Policy for full details.

16. Miscellaneous

These Legal Terms and any policies posted by us on the Services constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions. No joint venture, partnership, employment or agency relationship is created between you and us. You agree that these Legal Terms will not be construed against us by virtue of having drafted them.
